Five days after the company’s bankruptcy, the grandson of founder Bernard Van Hool suffered another enormous loss: his father, Denis Van Hool, died, deeply shaken by the fall of the bus manufacturer. “Why did they let us down?” he whispered shortly before his death. According to the founder’s grandson, the collapse of Bernard Van Hool’s legacy could indeed have been avoided — with a temporary investment of €30 million. The company’s former CEO said this in an interview with the weekly Trends. With 2,500 employees dismissed from the Koningshooikt headquarters, Van Hool’s bankruptcy \u003C\u002Fstrong>\u003Cstrong>will probably be recorded as the industry’s biggest collapse of 2024. Before bankruptcy proceedings were launched, Van Hool was weighed down by a debt mountain of more than €400 million, and the four major banks managing that debt ultimately rejected the restructuring plan drawn up to save the bus manufacturer because of inheritance disputes.\u003C\u002Fstrong>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">Since bankruptcy proceedings were ordered, Filip Van Hool has returned to the factory twice more at the request of the liquidators, but he has now been definitively banned from entering the company’s headquarters on Bernard Van Hoolstraat in Koningshooikt. It is painful, the former company chief admits, when he passes the plant: “It feels as if I have had to let go of one of my children. I feel sadness, and anger too, because I devoted all my time and energy to the factory throughout my life.” The phrase “throughout my life” should be understood literally: as a child, he already followed his father Denis into the plant at weekends. At the age of ten, he drove his first few hundred metres behind the wheel of a bus: “My classmates were crazy about cars, while I spent all day poring over trade magazines about bus manufacturers. I was at every exhibition, I knew every model — ours, but also those of the competition.”\u003C\u002Fp>\n\u003Cp>\u003Ca href=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F3243718-100-dpi-rgb.jpg\">\u003Cimg loading=\"lazy\" class=\"aligncenter wp-image-58763\" src=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F3243718-100-dpi-rgb.jpg\" alt=\"\" width=\"700\" height=\"628\" title=\"\" \u002F>\u003C\u002Fa>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">When Filip started working for the company in 1989, he already knew it like the back of his hand. He began in production and later also took over sales. In 2015 he became CEO of the company his grandfather had founded shortly after the war. By the 1960s, Van Hool had grown into one of the flagships of Belgian industry, a multinational company closely intertwined with the local community. “I feel the pain of our employees, some of whom devoted thirty or forty years of their lives to the company,” Filip Van Hool said. He noted that even when the company was going through its stormiest period, employees did not strike once; despite the tense and negative atmosphere, unlike at other companies, the people of Van Hool never protested.\u003C\u002Fp>\n\u003Cp>\u003Ca href=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002Fde-van-hool-vestiging-in-koningshooikt-vandaag.webp\">\u003Cimg loading=\"lazy\" class=\"aligncenter wp-image-58770\" src=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002Fde-van-hool-vestiging-in-koningshooikt-vandaag.webp\" alt=\"\" width=\"700\" height=\"466\" title=\"\" \u002F>\u003C\u002Fa>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">The bankruptcy in spring 2024 was caused by a lack of liquidity. According to Filip Van Hool, the situation was not yet so dramatic at the end of 2023. True, they were facing major difficulties due to supply-chain problems and hyperinflation, which led to huge price increases, but the market was beginning to recover and orders — already adjusted for inflation — were pouring in. The company’s order book was completely full not only for 2024 but also for 2025, with contracts worth more than €620 million. Van Hool’s real nosedive began during the coronavirus pandemic: orders in the company’s profitable coach business dried up, and because of the 500 buses accumulated during production and the huge inventory, the company posted a loss of €250 million. In addition to the pandemic, inflation and the disruption of supply chains, the company’s financial position was also severely hit by a 14% increase in wages and a 25% rise in the price of energy carriers and components. While costs were constantly rising, the company was still delivering buses contracted at old prices, which generated further losses. By mid-2023, although orders were increasing again, Van Hool was already struggling to manage its worsening financial situation.\u003C\u002Fp>\n\u003Cp>\u003Ca href=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002Fview-1.jpeg\">\u003Cimg loading=\"lazy\" class=\"aligncenter wp-image-58746\" src=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002Fview-1.jpeg\" alt=\"\" width=\"700\" height=\"394\" title=\"\" \u002F>\u003C\u002Fa>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">Interestingly, Filip Van Hool was the company’s first CEO. Before his appointment, in 2015, eight companies operated side by side — though not always for one another — as a cluster within Van Hool. Against the wishes of the financial management, Filip centralised their operations. Rivalry had always existed among the Van Hool brothers, and it also affected the company’s efficient operation. In 2015, as CEO, he began tearing down the walls, but unified operations could only be established in 2017, when the founder’s sons who were still active in the company also retired.\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">Filip Van Hool was also the driving force behind the \u003Ca href=\"https:\u002F\u002Fmagyarbusz.info\u002F2024\u002F08\u002F17\u002Fa-vdl-hivatalosan-is-atvette-a-van-hool-macedoniai-gyarat\u002F\">move to North Macedonia\u003C\u002Fa>. Because of labour costs, the business was operating with very small margins; by establishing the plant in North Macedonia, they were able to raise those margins to a healthy level, and profits also increased year after year. Between 2009 and 2019, Van Hool’s equity increased threefold, by €88 million, while its debt burden also decreased. The opening of the Skopje plant, built in two phases for a total of €42 million, therefore made a major contribution at the time — unfortunately only temporarily — to Van Hool stabilising its financial position, which had been shaken in the 2010s, and improving its market position. The Van Hool family itself would have been able to raise €90 million to meet the liquidity requirements needed for operations, and a further temporary €30 million — for example for two years — would have been needed for the company to weather the difficulties. The family-business model devised by Bernard Van Hool, built around eight hard-working, self-taught sons, ran counter to everything known about modern business management, but in practice the idea worked for decades. They received financial compensation and real estate, with which they were satisfied until 1999. With his will and his vision, Bernard only wanted to keep the family together, but he achieved exactly the opposite.\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">In 1999, three of the eight sons were bought out of the family business by the others, for an unprecedented sum of €180 million. That price, however, had nothing to do with the company’s real value. The valuation was based on equity and the average profit of the previous three years, but those had been exceptional business years because the US market had grown explosively. That average was multiplied by ten, resulting in the €180 million figure — an amount which, according to Filip, would have been excessive even at half the price. In addition, other siblings came forward saying they wanted to convert their shares into euros, but this was no longer possible because the €180 million payment had seriously shaken the company’s position. This financial bloodletting weighed heavily on Van Hool for years. The €100 million claim was then recorded as a liability on the company’s current account.\u003C\u002Fp>\n\u003Cp>\u003Ca href=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F351190322_247441594554598_512276500484728653_n.jpg\">\u003Cimg loading=\"lazy\" class=\"aligncenter wp-image-58748\" src=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F351190322_247441594554598_512276500484728653_n.jpg\" alt=\"\" width=\"700\" height=\"467\" title=\"\" \u002F>\u003C\u002Fa>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">Meanwhile, the two sisters learned of the €180 million payment and went to court for compensation, believing that they too were entitled to shareholdings in the company. The battle over these shares has been going on for almost a quarter of a century, and in the meantime the court has also seized them. In this form, therefore, the shares cannot be sold, which naturally represented a serious pitfall for potential investors. This inheritance dispute would have been a major bottleneck in securing further capital or obtaining additional financing from the banks or the state. The Belgian government and the banks demanded that this situation be resolved in exchange for financial assistance, but it was ultimately not settled by the banks’ deadline. According to Filip, his aunt Simone asked an unrealistically high price, which they could not have paid either from private funds or from company money. The younger sister, Ingrid Van Hool, died in 2012; her son, Christophe De Decker, apparently had a better grasp of the threat of bankruptcy than his mother’s sister did, and at a final late-night meeting he reduced his demand to the absolute minimum. By then, however, even this was no longer accepted by the Van Hool heirs. And because members of the Van Hool family were unwilling to set aside their internal dispute, which had dragged on for decades, the company’s bankruptcy was ultimately declared by the Mechelen business court on 8 April, after Van Hool had become insolvent.\u003C\u002Fp>\n\u003Cp>\u003Ca href=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F358104157_598036692473864_6683436213288948181_n.jpg\">\u003Cimg loading=\"lazy\" class=\"aligncenter wp-image-58749\" src=\"https:\u002F\u002Fmedia.magyarbusz.info\u002F2024\u002F09\u002F358104157_598036692473864_6683436213288948181_n.jpg\" alt=\"\" width=\"700\" height=\"525\" title=\"\" \u002F>\u003C\u002Fa>\u003C\u002Fp>\n\u003Cp style=\"text-align: justify\">According to Filip, information leaked from negotiations with the banks and the Belgian state did not help perceptions of the situation. There were occasions when the minutes of a meeting were in the newspapers before he had even put on his coat. Moreover, these leaks did not always reflect reality. More importantly, however, their suppliers were also reading these articles. Some were subsequently willing to deliver only against advance payment. One supplier even filed for collection against the company’s accounts over an invoice of just €10,000. As a result, they had no choice but to apply for protection from creditors — and that was when all hell broke loose, with an avalanche of claims suddenly crashing down on Van Hool. Filip said this was the first time he felt his strength leaving him, and by then he knew it was over. “The whole company worked hard for years, and yet we went bankrupt. It made me ill,” he said.
